In the realm of AC Milan's corporate power plays, the 'devil' is in the details. Take, for example, the recently disclosed documents (revealed by Calcio e Finanza) that outline the sweeping powers of CEO Furlani. According to the revealed documents, Furlani is granted the authority to wield a single signature within the confines of the annual budget approved by the Board of Directors, with a limit of €30,000,000 gross for each operation. But that's just the tip of the iceberg.
Furlani's powers also extend to managing relations with the big players in the sports world, from Lega Serie A to FIFA, and any other government body or association of note. With that authority comes the ability to negotiate centralized TV and commercial rights, obtain licenses and authorizations, and even represent the club/company in legal proceedings. It's a wide-ranging remit, to be sure, but one that Furlani seems more than capable of handling.
CEO Furlani is also responsible for managing the development of the company's business, marketing, and image, which involves creating relationships with other entities operating in the football sector, as well as promoting the club to organizations, networks, promotion channels, and sales channels within the same sector.
Additionally, Furlani must ensure that the club's commercial objectives are met while staying within the compensation and budgets approved by the Board of Directors. He must manage relationships with sponsors, suppliers, and commercial partners for both ongoing contracts and new projects, and identify potential sources of financing while managing relationships with relevant entities.
As CEO, Furlani also manages relationships with player agents and acts as the formal reference point for the managers of each business line and each football operation of the company, including sports directors, technical directors, and head coaches. Furlani has the power to hire, suspend, and dismiss executive personnel, set salaries, determine qualifications, functions, duties, and exercise disciplinary power, as well as define the compensation due to them at the end of the employment relationship. Finally, Furlani is authorized to negotiate, conclude, modify, resolve, transfer, and/or acquire any type of agreement related to the club's activity, both in Italy or abroad such as, by way of example only, the following:
Negotiating the acquisition or transfer of any football-related rights to players' performances, including youth players; forming agreements related to players' performances and contracts with coaches, scouts, and agents; creating contracts for consulting, insurance, purchasing mobile goods, transportation, promotion, and advertising; managing relationships with national, regional, provincial, and municipal authorities or other legal entities, including those in which Milan has a stake, regarding the new stadium project or the renovation of San Siro Stadium, in compliance with the President and Board of Directors' guidelines and directives.
The document also outlines a set of "powers conferred jointly with the President of the Board of Directors or, alternatively, with Counselor Gerald Cardinale Jr within the annual budget approved from time to time by the Board of Directors with regard to acts and/or operations with a unitary value ranging from Euro 30,000,000 (thirty million) gross to Euro 100,000,000 (one hundred million) gross and subject to formal consultation with the Technical Committee established within the company." These powers are:
Negotiating, concluding, amending, terminating, transferring, and/or acquiring: agreements for the acquisition or transfer, in any form, of rights to the performances of football players, including those in the youth sector; agreements for the definition of the relationship relating to the sports performances of football players and agreements with coaches, technicians, and talent scouts, agreements relating to scouting activities and the healthcare sector, as well as agreements with agents and sports agents.
The CEO of AC Milan, Furlani, and the team's owner, Gerry Cardinale, have some powerful abilities when it comes to making decisions for the club. The document also states how they can basically work together and make decisions about operations worth between 30 and 100 million euros. Before they do anything, they have to talk to a group of experts at the club, though (the Board of Directors).
They can negotiate contracts and make changes to them, and they can also transfer players from other teams to AC Milan. This includes players who are still young and haven't played for the senior team yet. They also have the power to make agreements with coaches, technicians, talent scouts, agents, and sports representatives for scouting and healthcare sector activities.
